Terms of Service

1. General

These Terms of Service (hereinafter "Terms") constitute an agreement between you (hereinafter "User") and TokenON AI Tokens OS operated by HUI INTERNATIONAL TRADE PTE. LTD. (Singapore) (hereinafter "we", "us" or the "Platform"), governing your use of services provided at tokenon.ai and its related business subdomains.

Please read these Terms carefully before registering, logging in, or using the Platform services. By clicking "Agree" or using the services, you acknowledge that you have fully understood and agreed to these Terms. If you do not agree with any provision of these Terms, please do not register or use this Platform.

These Terms are governed by the laws of the Republic of Singapore and other applicable laws and regulations.

2. Service Description

The Platform is an AI model API aggregation service platform providing enterprises and individual developers with AI large language model API relay and management services, including but not limited to:

(a) Unified access and invocation of multi-vendor AI model APIs;

(b) API key management, usage monitoring and billing settlement;

(c) Intelligent model routing and automatic failover;

(d) Enterprise-grade account management and access control.

The Platform serves as a technical intermediary layer providing API relay services and does not directly provide AI model training or generation services. Upstream AI model services are operated and maintained by the respective model providers.

3. Account Registration and Verification

(a) You shall register an account using authentic identity information, provide true, accurate and complete registration information, and update it promptly when changes occur.

(b) Enterprise users must complete business verification (KYB), providing valid business registration and legal representative information.

(c) You are responsible for safeguarding your account and password. Security issues arising from your own negligence are your responsibility. If you discover unauthorized use or abnormal login, please notify the Platform immediately.

(d) The Platform reserves the right to restrict or terminate accounts that violate verification requirements or provide false information.

4. Acceptable Use

When using Platform services, you shall comply with applicable laws, regulations and these Terms. You shall not use the Platform services to:

(a) Generate or distribute content that violates applicable laws and regulations, including but not limited to: content that endangers national security; content that incites hatred or discrimination; content that spreads rumors or disrupts social order; obscene, violent, terroristic or crime-inducing content; defamatory content.

(b) Use AI-generated content for fraud, false advertising, or misleading the public.

(c) Use Platform services to infringe on intellectual property rights, trade secrets, or other legitimate rights of others.

(d) Reverse engineer, attack, or maliciously scrape the Platform or engage in other activities that endanger Platform security.

(e) Resell or transfer API service quotas to unauthorized third parties.

(f) Engage in any other activities that violate applicable laws, regulations, or these Terms.

5. AI Compliance Obligations

When using the AI services on this Platform, you shall comply with the following requirements:

(a) You shall not use generative AI services to produce harmful, illegal, or unethical content;

(b) You shall not use AI-generated content to infringe on the rights of others, including portrait rights, reputation, privacy, and intellectual property;

(c) When providing AI-generated content to the public, you shall clearly label it as AI-generated and not misrepresent it as human-created;

(d) You shall not use generative AI services for activities prohibited by applicable laws;

(e) Upon discovering illegal AI-generated content, you shall promptly take measures to cease generation and mitigate impact, and report to relevant authorities.

The Platform reserves the right to monitor and take action on non-compliant content, including but not limited to suspending services, removing content, and banning accounts.

6. Billing and Payment

(a) The Platform charges based on actual API usage (token consumption), with specific pricing as published on the Platform pricing page.

(b) Users shall top up their accounts through the payment methods supported by the Platform.

(c) API services will be suspended when the account balance is insufficient. Services will automatically resume after top-up.

(d) All transaction records are retained on the Platform. Users may view historical transaction details in their accounts.

(e) The Platform reserves the right to adjust service pricing based on market conditions and operational costs, with prior notice to users.

7. Data Security and Protection

(a) The Platform strictly complies with applicable data protection laws and implements classified and graded protection of user data.

(b) Conversation content transmitted by users via the API is only technically relayed by the Platform; it is not stored, analyzed, or used for training.

(c) The Platform employs encrypted transmission (TLS 1.2+), access controls, audit logs and other technical measures to ensure data security.

(d) Users are responsible for the legality of data processed through the Platform and shall not transmit restricted or classified data through the API.

8. Cross-Border Data Transfer

To provide AI model API relay services, your API call content may be transmitted to AI model providers in other jurisdictions for processing. The Platform will:

(a) Obtain your consent before initiating cross-border data transfers;

(b) Implement appropriate legal safeguards (such as standard contractual clauses) for cross-border transfers;

(c) Transfer only necessary API call technical parameters without transmitting user identity information;

(d) Ensure overseas recipients maintain data protection standards no lower than those required by applicable law.

9. Intellectual Property

(a) The trademarks, logos, technical architecture, interface design, and software code of the Platform are the property of the Platform operator or its lawful rights holders.

(b) Rights to content generated through API calls are determined by the respective upstream AI model provider agreements and applicable law.

(c) Users may not copy, modify, or distribute the Platform's protected content in any manner.

10. Service Interruption and Limitation of Liability

(a) As an API aggregation intermediary, the Platform does not bear direct responsibility for the accuracy or legality of content output by upstream AI model providers.

(b) The Platform shall not be liable for service interruptions caused by force majeure (including but not limited to natural disasters, government actions, network failures), but will take prompt measures to restore service.

(c) For service interruptions due to system maintenance or upgrades, the Platform will provide advance notice via in-platform notifications or email.

(d) Users are responsible for losses caused by their own violation of these Terms or applicable laws.

11. Breach of Terms

If you violate these Terms, the Platform may take the following measures depending on the severity:

(a) Issue a warning notice;

(b) Suspend or restrict certain service features;

(c) Freeze account balance;

(d) Permanently ban the account.

You shall bear full liability for any losses incurred by the Platform due to your breach (including but not limited to administrative penalties, third-party claims, reputational damage).

12. Amendments

We may revise these Terms based on changes in laws and regulations or business development needs. Revised Terms will be published on the Platform and users will be notified. Material changes affecting your rights will be communicated via in-platform notifications or registered email. Your continued use of the services after the amendment notice constitutes acceptance of the revised Terms. If you disagree with the changes, you should discontinue use of the Platform services.

13. Dispute Resolution

(a) These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore.

(b) Any disputes arising from these Terms shall be resolved through friendly negotiation. If negotiation fails, either party may submit the dispute to the courts of Singapore.

14. Miscellaneous

(a) If any provision of these Terms is found to be invalid or unenforceable, it shall not affect the validity of the remaining provisions.

(b) The Platform's failure to exercise or delay in exercising any right under these Terms shall not constitute a waiver of that right.

(c) These Terms constitute the entire agreement between you and the Platform regarding the use of Platform services, superseding all prior oral or written agreements.
